Representative Transactions
The matters listed below are a sample of the transactions and deals FMJ can handle for clients.
FMJ represented a Fortune 500 company in the replacement of its corporate aircraft fleet, including the purchase of a used Gulfstream G550 from another Fortune 500 Company and the sale of a Bombardier Challenger 300 aircraft to a private purchaser. The total value of the transactions was more than $31 million.
FMJ represented several different parties in a series of related aircraft hangar sale, purchase, lease, and financing transactions involving the Minneapolis-St. Paul Metropolitan Airports Commission, with a cumulative transaction value approaching more than $15 million.
FMJ successfully defended a private aircraft owner against a $500,000 state use tax assessment on aircraft resulting in no tax owed by the client.
FMJ represented a private company selling a Falcon F7X aircraft to the flight division of a major corporation for nearly $20 million. This cross-border transaction involved deregistering the aircraft from the Bermuda Air Registry, securing all required regulatory approvals in multiple jurisdictions, importing the aircraft into the United States, including a U.S. certificate of airworthiness, coordinating the inspection and certification of the aircraft, and structuring the closing to minimize tax exposure for all parties.
FMJ represented a lessor in possession of two Embraer model EMB 550 (Praetor 600) aircraft. The lessor sought to sell the aircraft to a company for a purchase price of $33 million. The firm assisted in preparing documents to effectuate the sale of both aircraft, the termination of the existing operating lease and subleases, and coordinating the closing logistics among seven different parties involved in the transaction, including private entities, public companies, banks, and lenders/financing groups.
FMJ represented the owners of an FBO and charter operator in the sale of their business and their aircraft for a price of approximately $12 million. The transaction included procuring regulatory approvals, tax structuring, and coordinating with the buyers and sellers to a continuity of operations for customers during the transition.
