Corporate Transactions 2022 – First Quarter

We rang in 2022 and our Mergers & AcquisitionsReal EstateBanking & Financial Institutions, and General Corporate & Business practice groups were off to the races! As was predicted, there were no signs of a slowing deal market and we expect the second quarter of 2022 to look very similar. Below is a sampling of some of our largest transactions from the last quarter:

  • Represented private owners in the multimillion-dollar sale of their charter aviation business. This transaction was unique as we helped our clients navigate the Federal Aviation Administration and the Metropolitan Airports Commission, as well as negotiate employment agreements for our clients who agreed to continue working in an advisory role with the business.
  • Represented a privately held truck leasing and sales company in the multimillion-dollar purchase of 62 trucks and other assets from a competitor. We helped to structure the transaction and drafted documentation for the transaction. 
  • Represented a paving company in the multimillion-dollar stock purchase in a management buy of a premier road construction company. We played an integral role in structuring this complicated transaction to maintain sufficient working capital levels to preserve the Company’s bond rating for public construction projects. The buyers utilized SBA financing, conventional bank financing, and seller financing. We negotiated and drafted loan documents for five different credit facilities and drafted documentation for the entire transaction and the buyer’s acquisition company. 
  • Represented private owners in the multimillion-dollar sale of their dock, boathouse, and lift manufacturing, sales, and installation business. This transaction was unique as we helped negotiate employment agreements for our clients who agreed to continue working in an advisory role with the business. 
  • Represented an ophthalmology practice in the multimillion-dollar sale of its clinics to a private equity firm located in Pennsylvania.
  • Represented a family member in a multimillion-dollar purchase of general partnership interests and limited partnership interests in a family limited partnership holding real estate. We helped to structure the transaction, drafted documentation for the transaction, and helped our client navigate challenging family dynamics.
  • Represented a local community bank in an eight-figure loan facility consisting of both a term note and a line of credit. The loan was larger than the lender was accustomed to, which require the inclusion of a lender participant. The loan was secured by both inventory and receivables.
  • Represented a farmer in a multimillion-dollar exchange of farmland involving three different parties and 1033 Exchange for condemnation proceeds. FMJ advised on structuring the transaction, drafted transaction documentation, and coordinated closing.
  • Represented nonprofit in the purchase of vacant real estate for the expansion of operations and construction of a new facility, including the formation of a wholly-owned subsidiary, environmental review, and the anticipated negotiation of a ground lease for adjacent land. Total development is expected to be more than $20,000,000.  
  • Represented real estate purchaser in the multimillion-dollar purchase of property involving 4 different parties, parcel splits, and multiple lenders. 
  • Represented a private equity buyer in the purchase of an aluminum extrusion supplier. We advised on structuring the purchasing entity’s corporate organization, negotiated and documented the transaction (including seller financing) with the seller, negotiated and documented agreements among the 25 investor-members in the sponsor purchasing entity, negotiated and documented a post-closing lease agreement with an option to purchase, and negotiated the lending documents from the bank.
