Corporate Closings – Spring 2024

Fafinski Mark & Johnson, P.A. recently finished a busy first quarter for 2024. Our Mergers & AcquisitionsReal EstateBanking & Financial Institutions, and General Corporate & Business practice groups handled transactions in a variety of industries and fields, including manufacturing, engineering, consulting services, HVAC, sports and athletic organizations, transportation and logistics, marketing and sales, machining, and commercial real estate.

The firm’s first quarter matters included large-scale, complicated transactions and a number of more agile deals in the Entrepreneurship Through Acquisition (ETA) space. The following matters are examples of some of the transactions FMJ worked on last quarter.

  • Represented a client in the acquisition of a nearly 20,000 square foot industrial center. The negotiation, due diligence, and closing were all accomplished on a short deadline to meet client needs.
  • Represented the purchaser in the acquisition of a business that provides manufacturing and automation solutions, along with a number of manufactured goods. The business model includes automated assembly machines, prototypes, tooling, piece parts, and other related functions/items. The firm advised on drafting and negotiating all transaction documentation, completion of due diligence, and coordinating closing.
  • Represented the purchaser in the acquisition of a company that sells and markets Amazon products. FMJ advised on drafting and negotiating all transaction documentation, completion of due diligence, and coordinating closing. The firm was able to address the specific needs involved with this business model and identify find the right solutions to complete the transaction.
  • Represented a bank/lender in a loan transaction to fund the acquisition of a window installation business. This deal involved a business acquisition loan, a real estate loan, and a revolving line of credit – as well as some complexity on the real estate side of the deal due to lingering title issues. 
  • Represented a purchaser in the acquisition of a manufacturing business specializing in hydraulic tools and parts. This deal involved multiple jurisdictions, and FMJ advised on drafting and negotiating all transaction documentation, completion of due diligence, and coordinating closing.
  • Represented the sellers in a sale of an LLC to an employee, who purchased 100 percent of the membership interests in that LLC. The business provided engineering consulting services and had a rather unique business model. The transaction became more complicated, unfortunately, when one of the sellers passed away near the end of the deal. The firm was able to work with all parties to help close the transaction under difficult time constraints and circumstances.
  • Represented the purchaser of a business that designs and sells custom team uniforms and other sports and athletic apparel. The firm advised on drafting and negotiating all transaction documentation, completion of due diligence, and coordinating closing. This deal involved multiple jurisdictions and a business that has an established national and international presence.
  • Represented the buyer in the purchase of a designer and seller of window treatments. The purchase involved multiple real estate transactions, which required the coordination of real estate counsel and transaction counsel to facilitate closing. FMJ advised on drafting and negotiating all transaction documentation, completion of due diligence, and coordinating closing. 
  • Represented a buyer in a deal to acquire an air conditioning, refrigeration, and heating (HVAC) business. FMJ drafted and negotiated all loan documentation, completed due diligence, and coordinated closing. This deal involved multiple interested parties and required navigating communications and negotiations with counsel for the seller and lender based in multiple jurisdictions.
