Corporate Transactions 2022 – Second Quarter

We are continuing to have a busy year. Q2 transactions for our Mergers & AcquisitionsReal EstateBanking & Financial Institutions, and General Corporate & Business practice groups included suppliers, manufacturing companies, retail, alternative energy funds, professional services firms, and private equity funds among others. With multiple sell- and buy-side deals in the pipeline, Q3 and Q4 look to be busy yet again.

Below is a sampling of some of our largest transactions from the last quarter:

  • Represented sellers in a multi-million-dollar sale of their storm equipment business to an international landscape maintenance company. This transaction involved the sale and transfer of patents and other intellectual property specifically created by FMJ clients to more efficiently navigate snow and ice management in the United States. 
  • Represented a private equity buyer in a multi-million dollar purchase of a commercial appliance supplier. FMJ advised on the purchasing entity’s corporate organization and negotiated and documented the transaction, lending, and real estate aspects of the transaction. 
  • Represented sellers in a multi-million-dollar real estate sale with a local municipality in Hennepin County. FMJ advised on structuring the transaction, which included the restructuring of the client’s business, drafting transaction documentation, and coordinating closing. 
  • Represented private owners of a custom HVAC manufacturer business across three separate entities in the tens of millions of dollars sale to a financial buyer. FMJ helped the client navigate volatile business conditions, environmental review, and a rollover equity component to the transaction. 
  • Represented renewable energy developer in a multi-million dollar sale of an approximately 800-acre, 150 MWac solar energy development project in Kentucky. FMJ advised on structuring transaction, drafting and negotiating transaction documentation, and coordinating closing.
  • Represented real estate seller in a multi-million dollar exchange of commercial property and 1033 Exchange for condemnation proceeds. FMJ advised on structuring the transaction, corporate reorganization of seller entity, drafting transaction documentation, and coordinating closing. 
  • Represented seller of profitable pet stores in multi-million dollar carve-out sale of multiple locations. FMJ advised on structuring the transaction, drafting and negotiating transaction documentation, and coordinating closing.
  • Represented seller in carve-out of its marketing and business development divisions to a strategic buyer and coordinated various related real estate considerations.
  • Represented the seller of a custom sign manufacturing business to a private buyer. FMJ advising on structuring transaction, drafting and negotiating transaction documentation, and coordinating closing.
