Q2 Transactions – Corporate and M&A

FMJ recently closed a very busy second quarter for 2023! Our Mergers & AcquisitionsReal EstateBanking & Financial Institutions, and General Corporate & Business practice groups handled transactions involving a variety of industries and fields, including, software, aviation, wholesale and distribution, manufacturing, commercial real estate, and cybersecurity. The following are a sample of the transactions we worked on in the second quarter of 2023:

  • Represented a client in the acquisition of a Part 135 Aircraft Charter Operation. This transaction involved re-negotiating payment terms of the purchase price and negotiating and preparing a consulting agreement, lease agreements, and resignations. This transaction also involved close coordination with the FAA, local airport authorities, and several other third parties to obtain all necessary approvals and ensure regulatory compliance in ongoing operations. Our M&A and Corporate teams collaborated with our Aviation Practice Group and called on their specific experience to ensure that this transaction made it across the finish line successfully.
  • Represented a client in the purchase of a custom software developer and technology outsourcing firm. This deal was unique because the company being purchased utilizes independent contractors in multiple countries, which required research and guidance on international regulations, potential sanctions, and other related considerations. 
  • Represented an industrial adhesives wholesaler in a multi-million dollar sale to a private equity backed strategic buyer. FMJ advised on drafting and negotiating transaction documentation, completion of due diligence, and coordinating closing.
  • Represented the buyer in the purchase of 100 percent of the interest in an avionics and repair company, which holds required certification and operates a repair station that provides aircraft maintenance, repairs, avionics, and upgrades. This transaction involved navigating several layers of regulatory compliance, including with the FAA, the state department of transportation, and the local airport authority. FMJ reviewed corporate records, analyzing required certifications and the scope of licenses, and the firm drafted both buy-side and sell-side transaction documentation. 
  • Represented the seller of a profitable cybersecurity and penetration testing company in a multi-million dollar private equity-backed strategic sale. FMJ advised on drafting and negotiating transaction documentation, completion of due diligence, and coordinating complex restructuring of the entity for tax purposes.
  • Represented the buyer of a manufacturing business. The business makes plastic and metal precision parts for Original Equipment Manufacturers (OEMs). FMJ negotiated and documented the overall transaction, coordinated due diligence, and handled closing. The firm also negotiated an associated purchase of the real estate involved.
  • Represented a client in the acquisition of an injection tool and plastic molding company across multiple states. The client also acquired the seller’s manufacturing facility. This complex transaction required FMJ to navigate through varying business performance periods and re-negotiate business points, along with other unique challenges presented by the Seller.

Q3 has been very busy already, and the firm is working to help close a number of deals in the near future.
