Corporate Transactions 2022 – Third Quarter

We are continuing to have a busy year. In the third quarter, our Mergers & AcquisitionsReal EstateBanking & Financial Institutions, and General Corporate & Business practice groups handled a number of transactions for distributors, suppliers, manufacturers, insurance agencies, renewable energy firms, a fishing resort, and many more. We are also working on some big matters right now, and Q4 looks to be a very exciting time!  

The following list is a sampling of some of our largest transactions from the third quarter:  

  • FMJ represented the sellers in the $20,000,000 sale of their hydraulic equipment distribution business to a private equity-backed strategic buyer.  FMJ advised on the structuring of the transaction, drafting and negotiating transaction documentation, coordinating all third-party consents, and providing due diligence for the transaction.  
  • FMJ represented the sellers in the sale of a Northern Minnesota fishing resort.  
  • FMJ represented the sellers in the multi-million dollar sale of a portfolio company of buy-side client.  FMJ advised on the structuring of the transaction, drafting and negotiating transaction documentation, coordinating all third-party consents, and completing due diligence for the transaction.
  • FMJ represented an insurance agent in the purchase of an insurance agency.  FMJ advised on structuring the transaction, financing the purchase, and the buyer’s relationship with insurance agents, which included a complete restructuring of the transaction structure after due diligence.  FMJ drafted and negotiated the Purchase Agreement, Earn Out, and all other transaction documents.  
  • FMJ represented the buyer in a multi-million dollar purchase of assets and real estate from a paving contractor.  FMJ advised on structuring the transaction using multiple affiliates, drafted all transaction documents, and coordinated due diligence, including title work and review of multiple easements affecting the property.  These transactions closed in less than three weeks from start to finish.  
  • FMJ represented a renewable energy developer in multi-million dollar sales of a project in Louisiana that was approximately 2,400 acres and 400 MWac, and another project in Nevada that was approximately 1,400 acres and 100 MWdc.  FMJ advised on the structure of the transaction.  The firm also drafted and negotiated transaction documentation, and coordinated the closing.
