Corporate Closings

Fafinski Mark & Johnson continues to close deals! Here is a summary of some of the transactions we handled in late summer and early fall 2025. Our Mergers & Acquisitions, Real Estate, Banking & Financial Institutions, and General Corporate & Business practice groups have handled transactions in a variety of industries and fields, including consumer packaged goods, medical tech and imaging, property management, entrepreneurship through acquisition, manufacturing, receivership, automotive, trucking and logistics, HVAC, consulting, carpentry, aviation, construction, and more.

The following matters are just a few examples of some of the transactions FMJ worked on recently.

  • Represented a buy-side client that purchased a consumer packaged goods (CPG) brand to add to its portfolio of brands.
  • Represented a client in a sell-side transaction of a medical imaging leasing company.
  • Represented a special forces veteran as the buyer in an ETA (Entrepreneurship Through Acquisition) deal on a vacation property management company.
  • Represented the buyer in an ETA deal to purchase a company that sells a specific product to various park systems.
  • Represented a new joint venture in the acquisition of an HVAC company.
  • Represented a receiver in a receivership proceeding. Part of this representation included the complicated sale of a company to a new buyer group.  The sale included a software platform asset, and a number of difficult issues came up along the way, including incomplete records, difficulties with governance and voting structures, and the need for a Transition Services Agreement. In the end, FMJ was able to guide the transaction across the finish line and allow the parties to move forward with the sale.
  • Represented a buyer in the acquisition of a trucking and logistics company. FMJ handled the drafting, negotiation of the purchase of the business, and the real estate involved.
  • Represented the buyer in the purchase of a consulting firm specializing in helping Amazon brands.
  • Represented an ETA buyer in the purchase of a carpentry/construction company in a time-compressed transaction. This deal also involved a real estate purchase and multiple leases. FMJ assisted in closing the transaction on an expedited basis, drafting, and negotiating agreements on a tight timeline up until the closing.
  • Represented the buyer in the purchase of a transmission and auto care business.
  • Represented an ETA buyer in the purchase of a home maintenance and HVAC company. This deal was made more complicated by the fact that the seller had multiple outstanding liens on the business that took significant negotiating to have those paid off before moving forward with the deal. FMJ handled the negotiations successfully and moved the deal to conclusion for the client.
  • Represented a client in the recapitalization and purchase of all of the preferred equity in a pharmacy service business. The total transaction value exceeded $30 million, with potential to be significantly more with earn-outs. While the actual transaction came together in three weeks, preparation by the firm for the transaction took more than two years. It included a number of other services from FMJ, including navigating employment issues and restrictive covenants, valuation, and other business law work.
  • Represented the seller of an electrical contracting business to a larger conglomerate. The deal came together in about a month, with tough negotiations, but the client was able to close the deal before the MNDOT construction season officially started.
  • Represented an aviation client in a $150 million refinancing, which replaced loans on all of its existing inventory plus providing the opportunity for another $100,000,000 potential asset financings moving forward. This included the refinancing of almost 30 different aircraft engine parts packages previously financed by numerous different major lenders and the coordination with the consignors handling the sale of those parts. The firm handled the deal itself and also managed all of the complicated aviation requirements and regulations.
