Q3 Transactions – Corporate and M&A

FMJ is well underway with a busy fourth quarter, but we wanted to take a look back at some of the deals we closed during the third quarter of 2023. Our Mergers & AcquisitionsReal EstateBanking & Financial Institutions, and General Corporate & Business practice groups handled transactions involving a variety of industries and fields, including manufacturing, technology and IT, commercial real estate, banking and lending, remodeling and construction, and supply chain. The following are a sample of the transactions FMJ worked on in Q3 2023:

  • Represented an employee/purchaser in the multi-million-dollar purchase of a company that manufactures step and access systems for bathrooms. FMJ advised on drafting and negotiating all transaction documentation, completion of due diligence, and coordinating the closing.
  • Represented a buyer in the acquisition of a competitor’s business and its real estate. FMJ advised this client through every stage of the transaction, and this deal was further complicated by title issues and a complex financing process.
  • Represented the founding partner of a tech consulting company in the sale of 100% of his equity interests to an IT service management company. This transaction involved the review and analysis of hundreds of company agreements and third-party contracts, an F-Reorganization of the company structure, and negotiating and drafting numerous transaction documents to complete the deal in a short timeframe.
  • Represented a national propane supply company in an eight-figure sale to a private equity backed strategic buyer. This complex transaction involved coordinating the sale of 15 pieces of real property, in addition to drafting and negotiating transaction and ancillary documents, along with the completion of due diligence.
  • Represented a major bank in preparing and drafting loan documentation for a large-scale loan facility to a borrower for construction and development. FMJ drafted and negotiated all loan documentation and coordinated with the title company to ensure a smooth closing.
  • Represented an investment services company in the sale of a minority interest in the company. This complex transaction included coordinating the sale of equity of 14 individual, entity, and individual retirement account sellers, drafting and negotiating transaction and ancillary documents, and completion of due diligence.
  • Represented an employee purchaser in the purchase of a countertop installation company. FMJ advised on drafting and negotiating all transaction documentation, completion of due diligence, and coordinating closing, as well as assisting the seller in navigating cultural barriers involved with the transaction.
