# FMJ’s Corporate Closings – 2026 Updates

Fafinski Mark & Johnson, P.A. has been busy, and we wanted to share some of the recent transactions the firm has handled. Our Mergers & Acquisitions, Real Estate, Entrepreneurship Through Acquisition (ETA), Banking & Financial Institutions, and General Corporate & Business practice groups have handled deals on the buy-side and sell-side in a variety of industries and fields, including assisted living facilities, consumer packaged goods, food and beverages, construction and contracting, property management, manufacturing, receivership, automotive, trucking and logistics, HVAC, biohazard remediation, professional services, aviation, event spaces, pharmacy services, construction, and more. The following matters are just a few examples of FMJ’s recent deals from Minnesota and around the country.

- Represented the seller of a manufacturing business that produced a number of industry-leading water and wind intrusion testing products. The deal involved a compressed timeline around a holiday, with landlord-related lease delays, but FMJ was able to help his deal close in less than four weeks.

- Represented a buyer in a multimillion-dollar stock purchase of a welding and fabrication services business. FMJ advised on the drafting and negotiation of all transaction documents, completion of due diligence, and coordination of closing.

- Represented the buyer in the acquisition of the assets of a filtration company as its owner was winding down and retiring.

- Represented the buyer in acquisition of a group of assisted living homes across multiple states, including a variety of assets and real estate. Complexities included navigating multiple state licensing requirements and structuring transition services around licensing.

- Represented a service company in the purchase of a similar company’s book of business. This transaction required very creative structuring and a complicated negotiation process.

- Represented the some of the owners in the sale of a pump business along with its two related companies. This matter also involved litigation and a dispute between the owners. FMJ handled the litigation matter as well, and the firm advised the clients to seek compromise with the other parties and sell the companies, rather than proceed with potentially lengthy litigation.

- Represented a buyer that acquired a manufacturing business. This deal included complicated lease negotiations for a facility that operates a foundry, and there were long, drawn-out negotiations with the seller on other operational matters.

- Represented a buy-side client that purchased a consumer packaged goods (CPG) brand to add to its portfolio of brands.

- Represented a client in a sell-side transaction of a medical imaging leasing company.

- Represented real estate clients in a complicated, multimillion dollar intra-family transaction. This deal involved nuanced income and estate tax considerations, along with unique family dynamics that resulted in changing the transaction structure multiple times. The transaction also required the establishment of a three-party access easement to get to/from two different real estate parcels (requiring multiple lender consents).

- Represented a buyer in the purchase of a specialty food business focused on olive oil, vinegar, and gourmet pantry products.

- Represented a receiver in a receivership proceeding. Part of this representation included the complicated sale of a company to a new buyer group. The sale included a software platform asset, and a number of difficult issues came up along the way, including incomplete records, difficulties with governance and voting structures, and the need for a Transition Services Agreement. In the end, FMJ was able to guide the transaction across the finish line and allow the parties to move forward with the sale.

- Represented a buyer in the acquisition of a trucking and logistics company. FMJ handled the drafting, negotiation of the purchase of the business, and the real estate involved.

- Represented the buyer in the purchase of a carpentry/construction company in a time-compressed transaction. This deal also involved a real estate purchase and multiple leases. FMJ assisted in closing the transaction on an expedited basis, drafting, and negotiating agreements on a tight timeline up until the closing.

- Represented a client in the recapitalization and purchase of all of the preferred equity in a pharmacy service business. The total transaction value also include potential earn-outs. While the actual transaction came together in three weeks, the transaction was in the works for over two years. It included a number of other legal services from FMJ, including navigating employment issues and restrictive covenants, valuation, and business law work.

- Represented the seller of an electrical contracting business to a larger conglomerate. The deal came together in about a month, with tough negotiations, but the client was able to close the deal before the MNDOT construction season officially started.

- Represented an aviation client in a $150 million refinancing, which replaced loans on all of its existing inventory plus providing the opportunity for another $100 million potential asset financings moving forward. This included the refinancing of almost 30 different aircraft engine parts packages previously financed by numerous different major lenders and the coordination with the consignors handling the sale of those parts. The firm handled the deal itself and also managed all of the complicated aviation requirements and regulations.

- Represented a client in a million-dollar investment in a tactical robotics and personal sensor systems company serving government and public safety sectors. FMJ advised on the drafting and negotiation of all transaction documents, completion of due diligence, and coordination of closing.

- Represented a buyer in a multi-million asset purchase of a recreational vehicle manufacturing, development, performance enhancement, aftermarket parts, custom fabrication, and repair and maintenance business. FMJ advised on the drafting and negotiation of all transaction documents, including documentation relating to rollover equity, completion of due diligence, and coordinating closing.

- Represented a purchaser in the acquisition of a carpet, upholstery, stone, tile, and grout restoration, cleaning, polishing, and sealing services business.

- Represented a seller in a multi-million sale of a precision machining and repair business. This was particularly rewarding transaction because FMJ advised on this client’s original acquisition of this business.

- Represented a client in the purchase of a wedding venue in rural Minnesota. FMJ assisted with the purchase of both the real estate and business assets and assisted with all aspects of the transaction, from negotiating and drafting the purchase agreement and ancillary agreements, navigating SBA requirements, and navigating the liquor license transition.

- Represented a client that purchased several disability and assisted living homes in Wisconsin. Complexities including the purchase of several properties where the homes operate, and navigating Wisconsin assisted living facility licensing requirements.

- Represented a client in the purchase of a well cover molding business. FMJ drafted and negotiated the purchase agreement and ancillary agreements and coordinated with buyer’s lender to meet the SBA’s closing requirements.

- Represented a client in the sale of a biohazard remediation business to private equity.

- FMJ assisted with purchase of a graphics/printing business. This was a small and seamless transaction, but it was opposite a seller who was not represented by counsel. FMJ drafted all of the transaction documents and facilitated a smooth closing.

At FMJ, we are grateful to work with our wide range of amazing clients, from individual entrepreneurs to large corporations, and everything in between. We appreciate the trust our clients place in us to help push their transactions across the finish line, and we are always happy to speak with potential new clients.
