We are excited to continue working with our existing clients and new ones in 2023.   

The following are a sample of the transactions we worked on in 2022:   

- Represented clients in the sale of their storm equipment business to an international landscape maintenance company. This transaction involved the sale and transfer of patents and other intellectual property specifically created by the clients to navigate snow and ice management in the United States more efficiently.

- Represented the sellers of a Minnesota nursing education company that was engaged in developing, marketing, and providing hands-on interactive training for nursing educators and learners through customized onsite and online conferences, webinars, workshops, and consultations. They also provided faculty and curricular development services to nursing programs at universities, colleges, and nursing education departments across the United States. FMJ advised on a variety of matters during the transaction, including drafting and negotiating all transaction documentation, completion of due diligence, and coordinating closing.   

- Represented a renewable energy developer in the sale of a project in Louisiana, which was approximately 2,400 acres and 400 MWac, and the sale of another project in Nevada that was approximately 1,400 acres and 100 MWdc. FMJ advised on the structure of the transaction, drafted and negotiated transaction documentation, and coordinated the closing.   

- Represented a profitable Google ads agency in the sale of the business to a technology company that provides codeless AI infrastructure. In this international, cutting-edge deal, FMJ advised on drafting and negotiating transaction documentation, completed due diligence, and coordinated closing. The firm also assisted the seller in navigating the cultural barriers of the transaction.   

- Represented clients in the sale of their hydraulic equipment distribution business to a private equity-backed strategic buyer. FMJ advised on the structuring of the transaction, drafted and negotiated transaction documentation, coordinated all third-party consents, and provided due diligence for the transaction.   

- Represented an insurance agent in the purchase of an insurance agency. The firm advised on structuring the transaction, financing the purchase, and the buyer’s relationship with insurance agents. This deal included a complete restructuring of the transaction structure after due diligence. FMJ also drafted and negotiated the Purchase Agreement, Earn Out, and all other transaction documents.   

- Represented the seller of ten subsidized housing and apartment complexes in Greater Minnesota. In addition to negotiating the Transaction Documents, FMJ addressed many unusual requests from the Buyer’s lenders and investors, including survey and title matters. All closings occurred simultaneously, and they were coordinated with multiple government agencies and multiple funding sources (including Low Income Housing Tax Credits).   

- Represented the private owners of a custom HVAC manufacturer business across three separate entities in the sale to a financial buyer. FMJ helped the client navigate volatile business conditions, environmental review, and a rollover equity component to the transaction.  

- Represented the owner of multiple profitable pet stores in the carve-out sale of multiple locations. FMJ advised on structuring the transaction, drafting and negotiating transaction documentation, and coordinating closing.   

- Represented private owners in the sale of their charter aviation business. FMJ helped our clients navigate the Federal Aviation Administration and the Metropolitan Airports Commission, and the firm helped negotiate employment agreements for the clients, who agreed to continue working in an advisory role with the business.   

- Represented a privately held truck leasing and sales company in the purchase of 62 trucks and other assets from a competitor. FMJ helped to structure the transaction and drafted documentation for the transaction. 

- Represented the seller in a carve-out of its marketing and business development divisions to a strategic buyer and coordinated various related real estate considerations.   

- Represented a paving company in the stock purchase in a management buy of a premier road construction company. FMJ played an integral role in structuring this complicated transaction to maintain sufficient working capital levels to preserve the client’s bond rating for public construction projects. The buyers utilized SBA financing, conventional bank financing, and seller financing. The firm negotiated and drafted loan documents for five different credit facilities and drafted documentation for the entire transaction and the buyer’s acquisition company.    

- Represented private owners in the sale of their dock, boathouse, and lift manufacturing, sales, and installation business. FMJ also helped negotiate employment agreements for our clients who agreed to continue working in an advisory role with the business.    

- Represented a family member in a purchase of general partnership interests and limited partnership interests in a family limited partnership holding real estate. FMJ helped to structure the transaction, drafted documentation for the transaction, and helped our client navigate challenging family dynamics.   

- Represented a local community bank in an eight-figure loan facility consisting of both a term note and a line of credit. The loan was larger than the lender was accustomed to, which required the inclusion of a lender participant. The loan was secured by both inventory and receivables.   

- Represented clients in the sale of their Northern Minnesota fishing resort, and FMJ managed all aspects of the transaction.   

- Represented a farmer in a multimillion-dollar exchange of farmland involving three different parties and a 1033 Exchange for condemnation proceeds. FMJ advised on structuring the transaction, drafted transaction documentation, and coordinated closing.   

- Represented a private equity buyer in the purchase of an aluminum extrusion supplier. We advised on structuring the purchasing entity’s corporate organization, negotiated and documented the transaction (including seller financing) with the seller, negotiated and documented agreements among the 25 investor-members in the sponsor purchasing entity, negotiated and documented a post-closing lease agreement with an option to purchase, and negotiated the lending documents from the bank.
