Heidi A. Carpenter is a commercial transactional attorney focusing her practice on representation of closely held businesses. She advises on choice of entity; tax and estate planning; employment law; shareholder, partnership and operating agreements; financing arrangements, including start-up and later stage debt and equity financing; regulatory compliance; and intellectual property.

In the area of mergers and acquisitions, Heidi represents bidders, targets, financial advisors, and bankers in structuring, negotiating and closing mergers, acquisitions and divestitures. In addition to traditional merger, asset and stock purchase transactions, she frequently assists clients in completing recapitalizations, leveraged buyouts, reorganizations and other complex restructurings.

Heidi was recognized in 2004 as one of Minnesota’s "Rising Stars" in the legal profession.

Heidi and her husband spend most of their free time keeping up with their three young daughters, Kennedy, Reagan, and Peyton. On the rare occasions that Heidi is not chasing toddlers or a deal, you can find her at a Badger football game, on the lake, or at home catching up with friends.
